Terms of Service

These Terms of Service ("Terms") govern your use of the Alviz AI platform and products operated by Vizion Investments LLC ("we," "us," "Alviz AI," or "Company"). By accessing or using our services, you agree to be bound by these Terms.

1. Services

Alviz AI provides cloud-based software-as-a-service (SaaS) products including PatchQuick, Corunna, E&P Directory, Vizion PM, and AI Tax Engine. Each product is subject to these general Terms plus any product-specific terms presented during sign-up.

2. Account Registration

To use our services, you must create an account with accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.

3. Subscription Terms

Billing: Subscriptions are billed monthly unless otherwise specified. Fees are charged at the beginning of each billing cycle via the payment method on file.

Price changes: We may adjust pricing with 30 days' written notice. Continued use after the notice period constitutes acceptance of the new pricing.

Taxes: Subscription fees are exclusive of applicable taxes. You are responsible for any sales tax, VAT, or similar charges.

4. Free Trial

We may offer free trial periods for certain products. During the trial:

• You receive full access to the product features
• No payment information is required until the trial ends
• At the end of the trial, your subscription will not auto-convert to a paid plan without your explicit consent
• We reserve the right to limit or modify trial availability at any time

5. Cancellation and Refunds

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access until then.

Refunds: We do not provide prorated refunds for partial billing periods. If you believe you are owed a refund due to service issues, contact us at kevin@alviz.ai.

Data after cancellation: Upon cancellation, your data will be retained for 30 days to allow for export. After 30 days, data may be permanently deleted.

6. Service Availability and Uptime

Uptime target: We target 99.9% service availability, measured monthly, excluding scheduled maintenance windows.

Scheduled maintenance: We will provide at least 24 hours' notice for planned maintenance that may affect service availability.

No guarantee: While we strive to maintain high availability, we do not guarantee uninterrupted access. We are not liable for any losses arising from service interruptions due to factors beyond our reasonable control, including internet outages, third-party service failures, or force majeure events.

7. Data Ownership

Your data is yours. You retain all rights, title, and interest in and to any data you submit, upload, or generate through our platform ("Customer Data").

You grant us a limited license to use Customer Data solely to provide and improve our services. We will not access your data except as necessary to provide support, maintain the service, or as required by law.

Data export: You may export your Customer Data at any time during your active subscription. We will provide reasonable assistance with data export upon request.

8. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable law
• Attempt to gain unauthorized access to our systems or other users' accounts
• Transmit malware, viruses, or any code designed to harm or disrupt
• Reverse engineer, decompile, or disassemble any part of our platform
• Resell, sublicense, or redistribute our services without written authorization
• Use our services to process data in violation of privacy laws
• Interfere with or degrade the performance of our services for other users
• Scrape, data-mine, or systematically extract data from our platform

Violation of these terms may result in immediate suspension or termination of your account.

9. Intellectual Property

Alviz AI and its associated products, including all software, designs, logos, documentation, and content, are the intellectual property of Vizion Investments LLC. These Terms do not grant you any ownership rights in our platform.

You may not use our trademarks, logos, or brand assets without prior written permission.

10. Account Termination

We may suspend or terminate your account if:

• You violate these Terms or our Acceptable Use policy
• Your payment method fails and is not updated within 7 days
• We reasonably believe your use poses a security risk
• Required by law or legal process

Upon termination, we will provide 30 days to export your Customer Data where feasible, unless termination is for cause (fraud, abuse, or legal requirement).

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Alviz AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities
• Our total cumulative liability for any claims arising from or relating to these Terms or your use of the services shall not exceed the total fees you paid us in the 12 months preceding the claim
• We are not liable for any losses arising from your reliance on data, reports, or recommendations generated by our AI-powered features

12. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our services will be error-free, uninterrupted, or meet your specific requirements. AI-generated insights, tax recommendations, and scoring outputs are informational and should not replace professional advice.

13. Indemnification

You agree to indemnify and hold harmless Vizion Investments LLC, its officers, directors, and employees from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of the services, your violation of these Terms, or your violation of any third-party rights.

14. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration administered under the rules of the American Arbitration Association. The arbitration shall take place in the Commonwealth of Pennsylvania, and the arbitrator's decision shall be final and binding.

You agree to resolve disputes on an individual basis and waive any right to participate in a class action.

15. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict of law principles.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a new effective date and, where appropriate, by email. Your continued use of our services after changes take effect constitutes acceptance.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
